Terms of sale
What applies when a business subscribes to a paid plan: prices, payment, renewal, cancellation.

This English version is a translation provided for convenience. The French version is the one that applies.
Purpose
These terms govern the sale of NorminUp subscriptions by Yann Beaucousin Negelin, sole trader (SIRET 941 762 346 00018). They complete the terms of use.
Paid plans are for businesses only: companies, freelancers and sole traders subscribing for their business. The free plan remains open to everyone.
Plans and prices
Plans, their limits and their prices are detailed on the Pricing page. The free plan remains available without payment.
Prices are in euros. VAT not applicable, article 293 B of the French General Tax Code.
A price change never applies to a period already paid: the price is the one in force at the time of the order or of the renewal.
Order and payment
The subscription is monthly or yearly, as you choose. Payment is made by card at Stripe; NorminUp never sees your card number.
Before payment, a checkbox makes you declare the professional use and accept these terms: the order cannot be placed without it. Invoices are available from the Billing page of your dashboard.
Renewal
The subscription renews automatically for the same length, unless cancelled before its end date.
Cancellation and return to the free plan
You can cancel at any time from the Billing page. Cancellation takes effect at the end of the period already paid: you keep your plan until then, then the organization goes back to the free plan:
- if it exceeds the free plan’s limits, an e-mail warns you and you have 5 days to choose what you keep;
- after that, whatever exceeds the limits is locked, not deleted: it becomes available again if you take a paid plan again;
- pending invitations beyond the limit are cancelled.
Changing plans
You can change plans at any time from the Billing page. The change is prorated over the current period: the difference is charged, or deducted from your next invoices.
Free Pro for open source projects and non-profits
A public open source project or a non-profit organization can ask for the Pro plan for free from the Billing page. This is not a sale: no payment is asked.
- each request is read by the team, which accepts or refuses it;
- the granted offer lasts one year and includes all of Pro except the white label: the “Powered by NorminUp” mention stays;
- an organization that already pays a subscription must cancel it first;
- after one year, the organization goes back to its previous plan, usually the free one, and its limits apply again; a new request extends it.
Refunds
No refunds are made: a period that has started is due in full, cancellation included.
Business customers
By subscribing, you declare you act for the needs of your business. The French Consumer Code rules reserved for consumers, including the right of withdrawal, therefore do not apply. If a subscription turns out to have been made by a private individual, NorminUp may end it.
Before payment, you give your company identifier, which NorminUp checks:
- in France, the SIREN or SIRET number, in the public company directory: the company must exist and be active;
- in another European Union country, the EU VAT number, with the European Commission’s VIES service;
- outside the European Union, the registration number and legal name, checked by hand by the NorminUp team, which may ask for proof.
Payment is only possible once the company is verified. If the verification service does not respond, the order waits until it responds again. The verified legal name appears on the invoices.
Limitation of liability
NorminUp’s total liability, all damages combined, is limited to the amounts paid by the customer over the 12 months before the event giving rise to it. NorminUp is not liable for indirect damage, such as lost revenue, customers or data.
Governing law
These terms are governed by French law. In case of a dispute, first write to contact@norminup.com to seek an amicable solution; failing that, the courts of the publisher’s registered place of business have sole jurisdiction.
